IMPORTANT – PLEASE READ CAREFULLY. By accessing or using the HomeWorth application, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this End User Licence Agreement. If you do not agree to these terms, you must not access or use HomeWorth.
1. Definitions
In this Agreement, the following terms shall have the meanings set out below:
- “Agreement”: means this End User Licence Agreement, including any schedules or amendments hereto.
- “Authorised User”: means any employee, contractor, or agent of SDL Surveying Ltd who has been granted access credentials to HomeWorth by the system administrator.
- “HomeWorth” or “the Application”: means the internal web application developed and operated by SDL Surveying Ltd for the purpose of managing residential property inspections, surveyor field operations, lender workflow management, operational reporting, and related administrative functions.
- “Company” or “SDL”: means SDL Surveying Ltd, a company incorporated in England and Wales.
- “Confidential Information”: means all data, materials, documents, and information accessed through or generated by HomeWorth, including but not limited to property inspection data, lender information, client records, and operational reports.
- “Personal Data”: has the meaning given in the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
- “System”: means the servers, infrastructure, databases, and supporting technology underpinning the HomeWorth application.
2. Grant of Licence
2.1 Licence Grant
SDL Surveying Ltd grants each Authorised User a limited, non-exclusive, non-transferable, revocable licence to access and use HomeWorth solely for the purposes of carrying out their authorised duties and responsibilities within SDL Surveying Ltd.
2.2 Permitted Uses
HomeWorth is licensed for the following internal business functions:
- Surveyor field operations – capturing, recording, and submitting property inspection data in the field
- Lender workflow management – managing and tracking instruction workflows, lender communications, and associated documentation
- Operational reporting and oversight – generating, reviewing, and distributing management information and operational reports
- Property inspection data capture and review – inputting, reviewing, amending, and approving property inspection records
- Administrative and workflow management functions – system configuration, user management, case allocation, and operational administration
2.3 Restrictions
Authorised Users must not:
- Use HomeWorth for any purpose other than those set out in clause 2.2
- Share, disclose, or transfer their access credentials to any third party
- Attempt to copy, reproduce, reverse engineer, decompile, or disassemble any part of the Application
- Remove, alter, or obscure any proprietary notices, labels, or markings within HomeWorth
- Use HomeWorth to process data for personal, commercial, or any purpose unrelated to SDL Surveying Ltd’s business operations
- Introduce any malware, viruses, or malicious code into the System
- Circumvent, disable, or interfere with any security or access control mechanisms
- Access any part of HomeWorth to which access has not been expressly granted
3. Intellectual Property Rights
HomeWorth, including all software, code, design, content, databases, and documentation, is the exclusive intellectual property of SDL Surveying Ltd. Nothing in this Agreement transfers any intellectual property rights to Authorised Users. All rights not expressly granted herein are reserved by SDL Surveying Ltd.
Any data, reports, or outputs generated by Authorised Users through the use of HomeWorth remain the property of SDL Surveying Ltd, subject to any obligations arising in respect of Personal Data.
4. Data Protection and Privacy
4.1 Compliance
All Authorised Users must access and handle data within HomeWorth in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and SDL Surveying Ltd’s internal Data Protection Policy.
4.2 Personal Data
HomeWorth may be used to process Personal Data relating to property owners, mortgage applicants, and other third parties. Authorised Users must:
- Only access Personal Data to the extent necessary for their authorised role
- Not export, copy, or transmit Personal Data outside of the Application except where expressly required to do so in the performance of their duties
- Report any suspected data breach or unauthorised access to the Data Protection Officer or IT Security team without undue delay
- Comply with all applicable data minimisation and retention obligations
4.3 Data Security
Authorised Users are responsible for maintaining the confidentiality of their access credentials. Users must log out of HomeWorth when not actively using the Application and must not leave an active session unattended in an unsecured environment.
5. Confidentiality
All information accessed through HomeWorth is Confidential Information of SDL Surveying Ltd. Authorised Users must:
- Keep all Confidential Information strictly confidential
- Not disclose Confidential Information to any person who is not an Authorised User, unless expressly authorised to do so by SDL Surveying Ltd management
- Use Confidential Information solely for the purpose of performing their authorised duties
- Ensure that access to Confidential Information is protected in accordance with SDL Surveying Ltd’s information security policies
These confidentiality obligations survive the termination or expiry of this Agreement and the Authorised User’s employment or engagement with SDL Surveying Ltd.
6. Access, Security, and Monitoring
6.1 Access Controls
Access to HomeWorth is controlled via role-based permissions assigned by system administrators. Authorised Users may only access the modules, data, and functionality relevant to their designated role.
6.2 Monitoring
SDL Surveying Ltd reserves the right to monitor, log, and audit all use of HomeWorth. Users should have no expectation of privacy in respect of their use of the Application. Monitoring may be carried out for the purposes of security, compliance, performance management, and investigation of suspected misconduct.
6.3 Acceptable Use
HomeWorth must be used responsibly, professionally, and in accordance with SDL Surveying Limited’s Acceptable Use Policy and Code of Conduct. Any use that is unlawful, fraudulent, abusive, or inconsistent with SDL Surveying Limited’s policies is strictly prohibited.
7. Availability, Maintenance, and Updates
SDL Surveying Ltd will use reasonable endeavours to maintain the availability of HomeWorth during normal business hours. SDL reserves the right to:
- Schedule planned maintenance periods during which the Application may be unavailable
- Carry out emergency maintenance at any time where required for security or operational reasons
- Update, modify, or enhance the functionality of HomeWorth without prior notice
- Withdraw or suspend access to HomeWorth or any part thereof at its sole discretion
SDL Surveying Ltd does not guarantee uninterrupted or error-free access to HomeWorth and shall not be liable for any loss arising from unavailability of the Application.
8. Disclaimer of Warranties and Limitation of Liability
8.1 Disclaimer
HomeWorth is provided for internal business use on an “as is” basis. SDL Surveying Ltd makes no representations or warranties, express or implied, regarding the accuracy, completeness, or fitness for purpose of the Application beyond those required by applicable law.
8.2 Limitation of Liability
To the maximum extent permitted by law, SDL Surveying Ltd shall not be liable to any Authorised User for any indirect, consequential, incidental, or special loss or damage arising from use of or inability to use HomeWorth, including loss of data, loss of profits, or business interruption.
8.3 User Responsibility
Authorised Users are responsible for the accuracy and integrity of data they input into HomeWorth. SDL Surveying Ltd shall not be liable for errors or omissions in data entered by users.
9. Termination and Suspension
9.1 Termination by SDL
SDL Surveying Ltd may terminate or suspend an Authorised User’s access to HomeWorth immediately and without notice if the User:
- Breaches any term of this Agreement
- Ceases to be employed or engaged by SDL Surveying Ltd
- Has their access revoked by a system administrator for operational or disciplinary reasons
9.2 Consequences of Termination
Upon termination or suspension of access, the Authorised User must immediately cease all use of HomeWorth. All obligations of confidentiality and data protection set out in this Agreement shall continue to apply following termination.
10. Compliance and Reporting Obligations
Authorised Users must report the following to the IT helpdesk or their line manager immediately upon becoming aware of them:
- Suspected or actual unauthorised access to HomeWorth
- Loss or compromise of access credentials
- Suspected data breach or security incident
- Any software errors, defects, or unexpected behaviour within the Application
- Any suspected vulnerability or security weakness within HomeWorth
11. Governing Law and Jurisdiction
This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
12. General Provisions
12.1 Entire Agreement
This Agreement constitutes the entire agreement between SDL Surveying Ltd and each Authorised User in relation to the use of HomeWorth and supersedes all previous agreements, representations, or understandings relating to such use.
12.2 Amendments
SDL Surveying Ltd reserves the right to amend this Agreement at any time. Continued use of HomeWorth following notification of any amendment shall constitute acceptance of the revised terms.
12.3 Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
12.4 Waiver
No failure or delay by SDL Surveying Ltd in exercising any right under this Agreement shall operate as a waiver of that right.
12.5 Third Party Rights
This Agreement does not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999.
